1. Use of the Services

Subject to your compliance with these Terms and any applicable order forms or subscription agreements, Car Rental Solutions grants you a limited, non-exclusive, non-transferable right to access and use the Services for your internal business purposes in operating a car rental or related mobility business.

You are responsible for ensuring that all users under your account comply with these Terms and with all applicable laws and regulations when using the Services.

2. Accounts and Registration

To use certain portions of the Services, you may need to create an account or be provisioned with login credentials. You agree to provide accurate, current, and complete information and to keep that information up to date.

You are responsible for maintaining the confidentiality of your login credentials and for any activity that occurs under your account. You agree to notify us promptly of any unauthorized access or security breach.

3. Subscriptions, Fees, and Payment

Access to the Services may be provided on a subscription basis, subject to fees described in a separate proposal, order form, or pricing schedule agreed between you and Car Rental Solutions.

• Billing: Subscription fees are typically billed in advance on a periodic basis (e.g., monthly or annually) as agreed in writing.
• Changes to fees: We may update our pricing from time to time; any changes will generally apply at the start of the next renewal term and with reasonable notice.
• Taxes: Fees may be exclusive of taxes, duties, or similar governmental charges. You are responsible for paying any applicable taxes.

4. Free Trials and Evaluations

We may offer free trials, demo environments, or evaluation access at our discretion. We reserve the right to modify, limit, or terminate any trial at any time. Trial or evaluation use is provided “as is” and without any warranties.

5. Acceptable Use

You agree not to use the Services in any way that:

• Violates any applicable law or regulation;
• Infringes upon or misappropriates the intellectual property or privacy rights of others;
• Involves unauthorized access to any system, network, or data;
• Introduces malware, viruses, or other harmful code;
• Attempts to reverse engineer, decompile, or otherwise derive source code from the Services, except to the extent permitted by law;
• Attempts to circumvent any security or access controls on the Services;
• Involves reselling, sublicensing, or providing the Services to third parties without our prior written consent.

6. Customer Data

You may upload or enter rental reservations, customer data, vehicle data, and other business information into the Services (“Customer Data”). As between you and Car Rental Solutions, you retain ownership of your Customer Data.

You grant Car Rental Solutions a limited, non-exclusive license to host, store, process, and use Customer Data solely for the purpose of providing and supporting the Services, complying with legal obligations, and improving the functionality and performance of the Services (in an aggregated or de-identified form where appropriate).

7. Intellectual Property

All software, technology, content, and documentation provided as part of the Services (excluding Customer Data) are owned by Car Rental Solutions or its licensors and are protected by intellectual property laws. No rights are granted to you other than the limited license to use the Services as expressly set out in these Terms.

You may not remove or obscure any proprietary notices or branding on the Services.

8. Third-Party Services and Integrations

The Services may integrate with or rely on third-party services, such as payment processors, analytics, email services, or website hosting providers. Your use of such third-party services may be subject to additional terms and conditions from those providers. Car Rental Solutions is not responsible for the acts or omissions of third-party providers.

9. Confidentiality

Each party may receive non-public or proprietary information from the other party in connection with the Services (“Confidential Information”). The receiving party agrees to use such information only as necessary to perform its obligations under these Terms and to protect it using reasonable care.

Confidential Information does not include information that is or becomes publicly available without breach of these Terms, is independently developed without reference to the other party’s information, or is rightfully received from a third party without restriction.

10. Warranties and Disclaimers

We aim to provide reliable Services, but you understand and agree that, except as expressly stated in a separate written agreement between you and Car Rental Solutions:

• The Services are provided on an “as is” and “as available” basis.
• We do not warrant that the Services will be uninterrupted, error-free, or completely secure.
• To the maximum extent permitted by law, we disclaim all implied warranties, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

11. Limitation of Liability

To the fullest extent permitted by law, in no event will Car Rental Solutions or its officers, employees, or agents be liable for any indirect, incidental, consequential, special, or punitive damages, or for any loss of profits, revenue, or data, arising out of or in connection with these Terms or your use of the Services, even if we have been advised of the possibility of such damages.

To the fullest extent permitted by law, Car Rental Solutions’ total cumulative liability arising out of or relating to the Services or these Terms will not exceed the total amount paid by you for the Services during the twelve (12) months immediately preceding the event giving rise to the claim.

12. Indemnification

You agree to indemnify and hold harmless Car Rental Solutions, its officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or in any way connected with:

• Your use of the Services;
• Your violation of these Terms;
• Any Customer Data or content you submit or process through the Services;
• Your violation of any applicable law or the rights of any third party.

13. Term and Termination

These Terms remain in effect while you access or use the Services. We may suspend or terminate your access to the Services if you materially breach these Terms or any applicable subscription agreement and fail to cure the breach (where curable) within a reasonable time after notice.

Upon termination, your right to use the Services will cease. Certain provisions that by their nature should survive termination (such as ownership, confidentiality, disclaimers, and limitations of liability) will continue to apply.

14. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of Florida, USA, without regard to its conflict of laws principles.

Any dispute arising out of or relating to these Terms or the Services shall be brought in the state or federal courts located in Florida, and you consent to the personal jurisdiction of such courts.

15. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will update the “Last updated” date at the top of this page and may provide additional notice as required by law. Your continued use of the Services after any change constitutes your acceptance of the updated Terms.

16. Miscellaneous

• Entire agreement: These Terms, together with any applicable order forms or subscription agreements, constitute the entire agreement between you and Car Rental Solutions regarding the Services.
• Severability: If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect.
• No waiver: Our failure to enforce any provision of these Terms does not constitute a waiver of that provision.
• Assignment: You may not assign or transfer your rights or obligations under these Terms without our prior written consent.
